Welcome to Prology. These Terms of Use & Sale ("Terms") constitute a legal agreement between you and Prology regarding your access to and use of our website (the "Website") and the purchase of all products and services. By accessing the Website or making a purchase, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws. If you do not agree, you must not use the Website. You represent that you are at least 18 years of age.

Prology supplies professional-grade information technology equipment, including network switches, servers, and hardware infrastructure. All products are intended for professional and commercial use only. You are solely responsible for system design, compatibility, network security, and ensuring that hardware is used according to manufacturer specifications. Prology is not liable for misconfiguration, network downtime, or compatibility issues with third-party systems.

• Order Acceptance: Orders are only confirmed once payment is received. We reserve the right to reject, cancel, or limit any order at our discretion for any reason, including suspected fraud.
• AI and Information Accuracy: Information on the Website, including product descriptions or chat-based support, may be generated by artificial intelligence ("AI") and is provided for convenience only; we do not warrant that such content is error-free.
• Currency: All prices are listed in U.S. Dollars (USD).
• Sales Tax: Applicable sales tax will be charged on orders shipping to states where Prology has nexus (including California).
• E-Waste Fees: For orders shipped within California, a fee will be collected at the time of purchase in accordance with the California Electronic Waste Recycling Act for covered video display devices.

Payment for products is due prior to shipment. We may preauthorize your order amount at the time of purchase, which may affect your available credit line. We take precautions to protect your information using industry-standard encryption, but you are responsible for maintaining the confidentiality of your account credentials.

All orders are shipped F.O.B. (Free On Board) Shipping Point. This means that the title to the product and the risk of loss passes to you upon our delivery to the carrier. Delivery times are estimates only and are not guaranteed. Prology is not liable for delays caused by carriers, customs, or incorrect delivery information provided by you.

Returns and warranty claims must be approved in advance through Prology's RMA process.

Prology offers 30-day conditional returns where an item has been purchased incorrectly, subject to approval and a 20% restocking fee.

• Returned products must be in original condition and packaging unless otherwise approved by Prology

Non-returnable items may include custom-configured equipment, opened or used hardware, software, licensed products, and any items not eligible for return under Prology's return conditions.

Unless expressly stated otherwise, products supplied by Prology include a 6-month limited warranty from the date of purchase.

This limited warranty covers hardware faults or defects that arise under normal use during the warranty period. The warranty does not cover:

• Damage caused by misuse, incorrect installation, or improper handling
• Unauthorised modification or external factors
• Compatibility issues with the buyer's specific systems or environment

Manufacturer warranties, if any, may also apply directly through the manufacturer.

Prology does not warrant that products will be error-free or uninterrupted, compatible with your specific systems, or fit for a particular purpose beyond standard specifications.

To the fullest extent permitted by law, no additional warranties are provided unless expressly stated in writing.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROLOGY'S TOTAL LIABILITY IS LIMITED TO THE PURCHASE PRICE OF THE PRODUCT AT ISSUE. IN NO EVENT SHALL PROLOGY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR NETWORK DOWNTIME, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

• Binding Arbitration: You and Prology agree that any dispute arising out of your use of the Website or purchase of products shall be settled by binding individual arbitration under the rules of JAMS or the American Arbitration Association (AAA).
• Class Action Waiver: ALL PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
• Jury Trial Waiver: YOU AND PROLOGY HEREBY WAIVE THE RIGHT TO A JURY TRIAL.
• Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting Prology for a period of 60 days before initiating arbitration.

All website content is the property of Prology or its licensors and is protected by U.S. and international copyright laws. If you believe your copyrighted work has been infringed, please contact our DMCA Agent at sales@prology.net with the required legal documentation. By posting reviews or testimonials, you grant Prology a perpetual, irrevocable, royalty-free license to use that content for any purpose.

• Export Control: You must comply with all U.S. export and re-export restrictions and regulations and warrant that you are not located in an embargoed country or on any prohibited parties list.
• Governing Law: These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the courts located in Orange County, California.
